Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CapBlue platform at capblue.in and all related pages, dashboards, applications and services (the "Platform"). The Platform is owned and operated by CapEasy Consulting Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN U67190MP2023PTC064159, with its registered office at 803-A Shridhar Athens, Shivranjini, Satellite, Ahmedabad-380015, India ("CapBlue", "we", "us" or "our").
By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform. These Terms incorporate our Privacy Notice and Cookies Policy. Founders and Investors are also bound by the applicable supplemental terms — the Founder Terms and Investor Terms. Partners are governed by their signed Partner MOU.
1. Definitions
- "User", "you" means any person who accesses or uses the Platform, including Founders, Investors, Partners and Visitors.
- "Founder" means a startup, its authorised representative, that lists or seeks to list on the Platform.
- "Investor" means an investor, fund, syndicate or authorised representative that accesses curated deal flow.
- "Partner" means an incubator, accelerator or institution that nominates founders.
- "Content" means any information, documents, profiles, listings or materials made available on or through the Platform.
2. What CapBlue is — and what it is not
CapBlue is a curated discovery and introduction platform. We editorially review startup listings and present curated, thesis-aligned introductions between Founders and Investors in selected sectors at the pre-seed and seed stage in India.
CapBlue is not, and does not act as:
- an investment adviser, research analyst or portfolio manager registered with or regulated by the Securities and Exchange Board of India (SEBI), and nothing on the Platform constitutes investment advice, a research report, or a recommendation, solicitation or offer to buy, sell or subscribe to any securities;
- a stock broker, merchant banker, underwriter, placement agent or dealer;
- a party to, broker of, or intermediary in any investment, financing or commercial transaction between Users;
- a provider of legal, tax, accounting or financial advice.
Curation and matching are editorial and informational only. Any score, ranking, "thesis match", valuation reference, blurb or summary presented on the Platform is provided for information and convenience. It is not an endorsement, a recommendation, a valuation opinion, an assurance of quality, or advice. Users must form their own views and conduct their own independent due diligence and obtain their own professional advice before entering into any transaction.
No guarantee of outcomes. We do not guarantee that any Founder will be listed, matched, funded or introduced, that any Investor will find or close any deal, or that any transaction will succeed or produce any return. Any decision to invest, raise capital or transact is made solely by the Users concerned, at their own risk.
3. Eligibility
To use the Platform you must:
- be at least 18 years old and able to enter into a binding contract under Indian law;
- where you act for an entity, be authorised to bind that entity;
- complete any KYC and verification we require; and
- use the Platform only for lawful, professional purposes.
We may refuse, suspend or withdraw access at our discretion, including where eligibility or verification is not met.
4. Accounts and security
Access requires an account. Authentication is by email one-time passcode (OTP) for Founders, magic link for Investors and Partners, and Google sign-in for curators. You are responsible for:
- providing accurate, current information;
- keeping your sign-in method and account secure; and
- all activity under your account.
Notify us immediately of any unauthorised use. We are not liable for losses arising from your failure to keep your account secure.
5. Fees
Fees are set out at the point of purchase or in a separate written agreement, and depend on your role:
- Founders may currently apply and list free of charge. Any due diligence fees or success-based fees in connection with a closed round are governed by a separate written engagement and are not payable merely by using the Platform.
- Investor subscription access, where offered, is governed by the applicable plan or subscription terms.
- Partners are governed by their Partner MOU, including any revenue share.
We may introduce or change fees with reasonable prior notice. Fees are exclusive of applicable taxes (including GST), which you are responsible for. Except as required by law or expressly stated, fees are non-refundable.
6. Confidentiality and non-circumvention
The Platform facilitates access to confidential business information, including data rooms and cap-table information. You agree to:
- keep confidential all non-public information you access through the Platform;
- use it only for the purpose of evaluating a potential transaction through the Platform; and
- not circumvent the Platform — you must not use connections made through CapBlue to deliberately bypass the Platform in order to avoid fees properly payable, where applicable.
These obligations survive termination.
7. Acceptable use
You must not:
- provide false, misleading or unauthorised information, or impersonate any person or entity;
- upload material you are not authorised to disclose, or that infringes any third-party right;
- upload export-controlled, classified or otherwise restricted material, including in the defence sector, that you are not entitled to share;
- scrape, harvest, copy, resell or redistribute Content or deal flow without our written consent;
- introduce malware, attempt to gain unauthorised access, or interfere with the Platform's operation or security;
- use the Platform for any unlawful purpose, including market manipulation, money laundering or fraud.
8. Content and intellectual property
Your Content. You retain ownership of Content you submit. You grant CapBlue a non-exclusive, royalty-free licence to host, process, display and share that Content as needed to operate the Platform and provide the services (including curated introductions). You represent that you have all rights necessary to submit your Content and grant this licence.
Our IP. The Platform, its software, design, branding, curation methodology, scoring framework and all related intellectual property are owned by or licensed to CapBlue. We grant you a limited, revocable, non-transferable licence to use the Platform per these Terms. No other rights are granted.
Standardised templates. Any term-sheet templates, deal paper or document templates made available are provided as starting points only. They are not legal advice. You must obtain your own legal counsel before relying on or executing any such document.
9. Third-party services
The Platform relies on third-party providers (including Supabase, Vercel, Resend and Google) and may link to third-party sites. We are not responsible for third-party services or content. Your use of them may be subject to their terms.
10. Disclaimers
The Platform and all Content are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that any Content — including listings, valuations, scores or information provided by other Users — is accurate, complete or reliable. You rely on Content at your own risk.
11. Limitation of liability
To the maximum extent permitted by law:
- CapBlue, its directors, officers and employees will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business opportunity, investment or goodwill, arising out of or relating to the Platform or any transaction between Users.
- CapBlue's total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total fees you paid to CapBlue in the twelve (12) months preceding the event giving rise to the claim, or (b) INR 10,000.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnity
You agree to indemnify and hold harmless CapBlue and its personnel against any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use of the Platform, your Content, your breach of these Terms, or your dealings with other Users.
13. Suspension and termination
We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Platform, other Users or third parties. You may stop using the Platform at any time. Provisions that by their nature should survive termination (including Sections 6, 8, 10, 11, 12 and 14) will survive.
14. Governing law, jurisdiction and disputes
These Terms are governed by the laws of India. Subject to the dispute-resolution process below, the courts at Ahmedabad, India have exclusive jurisdiction.
The parties will first attempt to resolve any dispute amicably. Any dispute not resolved within 30 days may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Ahmedabad, India, and the proceedings will be conducted in English.

16. General
- Changes. We may amend these Terms from time to time. The updated version takes effect when posted, with the "Last updated" date revised. Continued use means acceptance.
- Assignment. You may not assign these Terms without our consent. We may assign them to a successor entity.
- Severability. If any provision is held unenforceable, the remainder continues in effect.
- Entire agreement. These Terms, with the documents they incorporate and any signed agreement, form the entire agreement between you and CapBlue.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may notify you through the Platform or by email to your registered address.
