Investor Terms

These Investor Terms are supplemental to our Terms of Use and apply to you if you access curated deal flow as an Investor on the CapBlue platform at capblue.in (the "Platform"), operated by CapEasy Consulting Private Limited ("CapBlue", "we", "us" or "our"). Capitalised terms not defined here have the meaning given in the Terms of Use. If there is any conflict, these Investor Terms prevail for Investors on the matters they cover.

By creating an Investor account or accessing deal flow, you accept these Investor Terms.

1. Who can act as an Investor

You may only access deal flow if you are authorised to act for yourself or for the fund, syndicate or entity you represent, and you confirm you have the authority to bind that entity. You agree to complete KYC and verification when requested.

You represent that you are a sophisticated investor capable of independently evaluating the merits and risks of pre-seed and seed-stage investments, and that you make your own investment decisions.

2. No investment advice; informational access only

You acknowledge and agree that:

  • CapBlue is a curated discovery and introduction platform and is not a SEBI-registered investment adviser, research analyst, portfolio manager, broker or placement agent;
  • nothing on the Platform — including any listing, profile, score, "thesis match", ranking, valuation reference, blurb, summary or data-room document — is investment advice, a research report, a recommendation, a solicitation, or an offer to buy, sell or subscribe to any securities;
  • curation and thesis-scoring are editorial and informational only, provided for convenience, and are not an endorsement, assurance of quality, valuation opinion or advice; and
  • you alone decide whether to pursue, evaluate or make any investment, and you do so at your own risk.

3. Independent due diligence

You are solely responsible for conducting your own due diligence on any Founder, company or opportunity, including legal, financial, technical, commercial and regulatory review, and for obtaining your own professional advice. You will not rely on any valuation, projection, metric or statement presented through the Platform as a substitute for your own investigation. Information on the Platform, including information provided by Founders, is not verified by CapBlue for accuracy and may be incomplete or inaccurate.

4. No guarantee; investment risk

Pre-seed and seed-stage investments are high-risk and illiquid, and you may lose your entire investment. CapBlue does not guarantee the availability, quality or outcome of any opportunity, any return, or that any transaction will close. Past performance, where shown, is not indicative of future results.

5. Confidentiality and non-circumvention

Deal flow, data rooms, cap-table information and Founder details accessed through the Platform are confidential. You agree to:

  • use such information solely to evaluate a potential transaction through the Platform;
  • not disclose, redistribute, resell, scrape or republish deal flow or Content without our written consent; and
  • not circumvent the Platform — you will not use an introduction made through CapBlue to deliberately bypass the Platform in order to avoid fees properly payable, where applicable.

These obligations survive termination of your access.

6. Subscription and fees

Where Investor access is offered on a subscription or paid basis, it is governed by the applicable plan or subscription terms presented to you. Until and unless such terms apply, access is provided on the basis of these Investor Terms and the Terms of Use. We may introduce or change subscription fees with reasonable prior notice. Fees are exclusive of taxes (including GST) and, except as required by law or expressly stated, are non-refundable.

7. Your regulatory compliance

You are solely responsible for ensuring that your access to deal flow and any investment you make complies with all laws applicable to you, including securities, exchange-control (FEMA), anti-money-laundering and KYC requirements, and any restrictions applicable to sensitive sectors such as defence. You confirm that your participation does not breach any law or obligation that applies to you.

8. Conduct and intro requests

When you request an introduction or contact a Founder through the Platform, you agree to act professionally, in good faith, and only for genuine evaluation of an opportunity. You will not use Founder information for any purpose other than that evaluation.

9. Indemnity

In addition to the indemnity in the Terms of Use, you will indemnify and hold harmless CapBlue and its personnel against claims, losses and expenses arising from your access to or use of deal flow, your due diligence or investment decisions, your dealings with Founders, or any breach of these Investor Terms or of applicable law.

10. Suspension and termination

We may suspend or terminate your access in line with the Terms of Use, including for breach of confidentiality, non-circumvention or these Investor Terms. Confidentiality, non-circumvention and indemnity obligations survive termination.
